Criminal Law – POCSO Act – Discharge – Absence of Sexual Intent – Revision Petition Allowed – The petitioner, a college student, was charged under the POCSO Act for allegedly entering the victim's house and attempting to force her to revive a past relationship – The Trial Court rejected his discharge plea – Held: Upon examination of the evidence, including the victim’s and her mother’s statements, it was found that no sexual intent or assault occurred – The Court further noted that the petitioner and the victim had been in a consensual relationship during their school years, and the case arose from a failed attempt by the petitioner to revive the relationship – The victim and her family expressed a lack of interest in pursuing the case, and no credible evidence of house trespass or harm was presented – The petitioner was discharged from the case [Paras 5-7].

Victim’s Consent to Withdraw Case – No Sexual Assault Proven – The Court observed that both the victim and her mother appeared before the Court and confirmed that they were not inclined to proceed with the case – Given the absence of evidence indicating sexual assault or trespass, and the victim’s and her family's statements, the case against the petitioner was dismissed [Paras 8-9].

Impact on Petitioner’s Future – The Court held that the case and its outcome would not affect the petitioner’s future employment or prospects, as no substantive offence was proven against him – The connected miscellaneous petitions were also closed [Paras 10-11].

Liability of Directors – Section 179 of the Income Tax Act – Natural Justice – Order Set Aside - The petitioner, a director of a private company, challenged the order passed under Section 179 of the Income Tax Act, which held him personally liable for the company's tax dues. The Court held that the petitioner was not afforded an opportunity to prove that non-recovery of the tax was not due to any gross neglect, misfeasance, or breach of duty on his part, which violated the principles of natural justice. The impugned order was quashed [Paras 9-12].

Principles of Natural Justice – Necessity of Hearing Directors Before Imposing Liability - The Court emphasized that Section 179 imposes a reverse burden on directors, but this burden can only be discharged if the director is given a fair opportunity to present evidence. The absence of a show cause notice and failure to follow principles of natural justice rendered the order unlawful [Paras 11-13].

Remand to Revenue Authorities – Fresh Consideration with Notice to the Petitioner - The Court set aside the impugned order, granting liberty to the Revenue to issue a fresh notice and follow due process in accordance with law before passing any final order [Paras 15-16].

Motor Vehicle Accident – Nature of Passenger’s Role – Deceased Considered Authorized Representative – The deceased, employed to load and unload goods, was traveling in the offending vehicle when it met with an accident. The insurance company contended that the deceased was a gratuitous passenger as no goods were present at the time of the accident – Held: The deceased was considered an authorized representative of the owner of the goods, even though no goods were in the vehicle at the time, as it was reasonable for the deceased to return in the vehicle after unloading the goods. No violation of the insurance policy occurred [Paras 20-24].

Consortium – Entitlement of Siblings – Award Enhanced – The Tribunal initially did not grant compensation towards consortium for the deceased’s brother. Relying on judgments of the Hon’ble Supreme Court, the High Court held that siblings are also entitled to consortium, recognizing the non-pecuniary loss of love, care, and affection – Held: Compensation towards consortium was awarded to the deceased’s brother, enhancing the overall compensation [Paras 27-28].

Compensation for Accident – Award Enhanced – The Tribunal’s original award of Rs. 8,43,760/- was increased to Rs. 9,93,760/-, with an additional Rs. 1,44,000/- awarded towards consortium and Rs. 3,000/- each towards funeral expenses and loss of estate. The appellant insurance company was directed to pay the enhanced compensation with 7% interest from the date of the claim [Paras 29-31].

Decision: The insurance company's appeal is dismissed, and the cross-objection is partly allowed. The award passed by the Tribunal is modified, and the insurance company is directed to pay the enhanced amount of Rs. 1,50,000/- with interest at 7% from 25/09/2017 [Paras 31-32].
 

Civil Law - Derivative Action – Rights of Shareholders – The appellants, minority shareholders, filed a derivative action challenging the sale of a property owned by the company. They sought injunctions and other reliefs on the ground of mismanagement and under-valuation – Held: A shareholder has no direct right over the assets of the company. However, in derivative suits, shareholders can claim relief if the company's interest is harmed. The sale of the Thane property, conducted without allowing plaintiffs to challenge the valuation report, raised questions of mala fides and arbitrary conduct by the respondents [Paras 10, 15].

Maintainability of Derivative Suit – Jurisdiction of Civil Courts – The respondents argued that the suit should be dismissed, contending that such matters fall under the jurisdiction of the NCLT – Held: While jurisdictional objections can be raised, as this case is at the interlocutory stage, it is premature to decide on maintainability. Decision: The appeals are allowed in part. The sale of the Thane property is not set aside but subjected to strict supervision by the appointed Special Officers. Further transactions involving the property are to be disclosed, and the issue of maintainability is left to be decided by the trial court [Paras 30, 47].

Bail - SC/ST (Prevention of Atrocities) Act – Grant of Anticipatory Bail – Section 18 of the SC/ST Act bars anticipatory bail unless no prima facie case is made out – Held: On judicial scrutiny, the complaint appeared to be motivated by enmity, and the possibility of false implication could not be ruled out. As such, the bar under Section 18 of the Act did not apply, and anticipatory bail was granted [Paras 7, 10].

Delay in Filing Complaint – The appellant filed a prior complaint against the defacto complainant, and there was a significant delay in lodging the present FIR – Held: The delay in filing the FIR, along with previous enmity, cast doubt on the prosecution's case, further justifying anticipatory bail [Para 8].

Consideration for Anticipatory Bail – Following the principles laid down in Gurbaksh Singh Sibbia and Siddharam Satlingappa Mhetre, anticipatory bail may be granted if the accusation appears to stem from ulterior motives. The Court found no risk of absconding or witness tampering, justifying anticipatory bail with conditions [Paras 9, 15].

Decision: The appeal is allowed, and the appellant is granted anticipatory bail on the condition that he cooperates with the investigation and does not influence witnesses. He is required to appear before the Investigating Officer at specified intervals [Paras 15, 16].

Taxation Law - Insolvency and Bankruptcy Code – Extinguishment of Claims – Section 31 and Section 32A IBC – The appellant sought to extinguish excise duty demands not included in the resolution plan approved during Corporate Insolvency Resolution Process (CIRP) under IBC – Held: Following the resolution plan approved by the NCLT and in the absence of a claim filed by the revenue before the IRP, the demand stood extinguished. No proceedings could continue for claims not included in the resolution plan [Paras 12, 13, 102].

Rule 22 CESTAT (Procedure) Rules – Application to Insolvent Companies – The revenue argued that the appeal abated under Rule 22 as the appellant was under insolvency – Held: Rule 22 applies in cases of liquidation or winding up of a company, but not when the company continues its business under a resolution plan as a going concern under IBC. Therefore, the appeal did not abate [Paras 19, 22].

Refund of Appropriated Amount – The appellant sought refund of 29,729,891, already appropriated by the revenue – Held: Since the demand was not part of the CIRP, the appellant was not entitled to claim refund of the appropriated amount, though the remaining demand of 50,915,106 stood abated [Paras 50915106].

Decision: The appeal is allowed. The CESTAT order is set aside. The demand of 50,915,106 is held to have abated, but the appellant is not entitled to claim a refund of 29,729,891 appropriated by the revenue [Paras 50915106].

Discharge Petition – Prima Facie Case – Sections 420 and 120B IPC – Charges Framed – The petitioners sought discharge from charges relating to financial irregularities and fraudulent loan disbursals under criminal conspiracy. The court held that prima facie evidence showed the petitioners' involvement as members of the Gram Sewa Sehkari Sabha Samiti. – Held: The trial court rightly framed charges against the petitioners based on the material evidence available. [Paras 29-30, 34].

Role of Management Committee – Fictitious Resolution – Liability Established – Petitioners argued that they were not part of the fraudulent resolution passed for loan disbursal. The court, however, noted that the resolution bore the petitioners' signatures, indicating their involvement in the process. – Held: The signatures on the resolution provided sufficient evidence to establish the petitioners' participation at this stage. [Paras 36-37].

Framing of Charges – Standard of Evidence – Sufficient Grounds to Proceed – The petitioners claimed insufficient evidence to justify framing charges. The court emphasized that at the stage of framing charges, only a prima facie case is required, not full proof of guilt. – Held: Sufficient material existed to frame charges under Sections 420 and 120B IPC. [Paras 38-40].

Civil Law – Cheque Bounce – Suit for Recovery of Money – Plaintiff, a coffee trading company, claimed that the defendant issued a cheque for ₹14,07,456 to clear outstanding dues – Cheque was dishonored due to insufficient funds – Trial Court dismissed the suit, finding that the cheque was issued in favor of the company's chairman in his personal capacity, not the company – Held: The suit was not maintainable as the plaintiff company, being a separate legal entity, cannot base its claim on a cheque drawn in favor of an individual [Paras 3.3, 15, 18].

Locus Standi – Legal Entity Distinction – The plaintiff company, registered under the Companies Act, is distinct from its chairman – The court found that the cheque, legal notice, and Special Power of Attorney (SPA) were all issued or executed in the individual name of the chairman, Sri V.G. Siddartha Hegde, rather than the company – As no resolution was passed by the company authorizing the filing of the suit, the company lacked the locus standi to initiate the suit for recovery [Paras 12, 13, 14].

Cheque Issuance – Allegation of Blank Cheque – The defendant admitted to having signed a blank cheque at the plaintiff's insistence, but denied issuing it to the company’s chairman for any transactions – The court agreed with the Trial Court's conclusion that the suit could not proceed on this basis, as the plaintiff failed to prove a legitimate financial obligation that would entitle the company to recover the amount [Paras 13, 15].

Decision: Appeal dismissed – Plaintiff company lacked the legal standing to file the suit as the cheque was issued in favor of an individual and not the company – No grounds to remand the case to the Trial Court – Parties to bear their own costs [Paras 16, 17, 18].
